These Terms of Service ("Terms") govern your use of the services provided by Ascend Innovation Ltd. dba Ascend Innovation ("Ascend Innovation", "we", "our", or "us").

By using our website, platform, or services, you agree to these Terms.

1. Acceptance of Terms

By accessing or using our Services, you accept these Terms and our Privacy Policy. If you do not agree, you may not use the Services.

2. Description of Services

We provide AI-powered marketing tools, automation services, CRM integrations, and white-label SaaS solutions.

These include AI chat agents, database reactivation tools, and sales process automations.

3. Account Creation

To use certain features, you must provide accurate personal information and we agree to keep your credentials confidential.

You are responsible for all activities under your account.

4. Payment Terms

We offer performance-based pricing, monthly subscription tiers, recurring service retainers, or one time purchases.

You agree to the pricing structure outlined in your agreement or order form.

Payment methods may be through Stripe or PayPal

Failure to make a required payment may result in account suspension or termination of services

Refunds may be issued under specific conditions outlined per service tier.

5. SMS Customer Engagement Program

- Our SMS program provides text messages for appointment reminders, receipts, customer services, product demonstrations, and occasionally promotional messages when you opt in.

- You can cancel the SMS service at any time. Simply text "STOP" to the incoming number. Upon sending "STOP," we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.

- If you experience issues with the messaging program, reply with the keyword HELP for more assistance, or reach out directly to (778)-562-5395

- Carriers are not liable for delayed or undelivered messages.

- As always, message and data rates may apply for messages sent to you from us and to us from you. Message frequency varies. For questions about your text plan or data plan, contact your wireless provider.

Our SMS program is in compliance with the CASL (Canadian Anti-Spam Legislation) and Telephone Consumer Protection Act (TCPA)

6. License and Restrictions

We grant you a limited, non-exclusive license to access our Services for your internal business use.

You may not:

Reverse-engineer, resell, or copy any part of the platform

Use the services for unlawful, misleading, or abusive purposes

Infringe on our intellectual property or that of others

7. Intellectual Property

All content, software, designs, and technology are the property of Ascend Innovation or our licensors.

You may not use our branding or trademarks without written consent.

8. Termination

We may suspend or terminate your access for violating these Terms.

You may cancel anytime according to your partnership agreement or contract by contacting support.

Data associated with your account may be deleted after termination.

9. Disclaimers and Limitation of Liability

Services are provided "as is" without warranties of any kind.

We are not liable for:

Indirect or consequential damages

Business interruption or data loss

Errors arising from third-party services

Our maximum liability is limited to the fees paid by you in the last 6 months.

10. Governing Law

These Terms are governed by the laws of British Columbia, Canada. Disputes will be resolved through arbitration or in the courts of Victoria, B.C., unless otherwise required by law.
